These Terms of Service (“Terms”) govern your access to and use of Flaris, an AI social media platform operated by Ubani LTD (“Ubani”, “Flaris”, “we”, “us”, “our”), a company registered in England and Wales at 348A St Albans Road, Watford, UK, WD24 6PQ.

By creating an account, accessing, or using Flaris (the “Service”), you agree to these Terms. If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization, and “you” refers to that organization. If you do not agree to these Terms, you may not use the Service.

1.Eligibility

You must be at least 18 years old (or the age of majority in your jurisdiction) to use Flaris. The Service is intended for business and professional creative use, and connecting social accounts and purchasing paid plans both require legal capacity to enter a contract.

You may not use the Service if you are barred from doing so under the laws of the United Kingdom, your country of residence, or any other applicable jurisdiction.

2.Accounts & security

  • You must create an account to use most features. You agree to provide accurate, complete, and current information, including a valid email address.
  • You are responsible for safeguarding your login credentials and for all activity that occurs under your account.
  • Notify us immediately at admin@tryflaris.com if you suspect unauthorized use of your account or any other breach of security.

3.The Service

Flaris is an AI-powered social media agent. Depending on your plan, the Service may let you:

  • Generate videos, images, carousels, and other creative assets using artificial intelligence, based on prompts, briefs, brand kits, and reference material you provide.
  • Edit, assemble, and arrange generated and uploaded media on a canvas and in a timeline editor.
  • Research and remix publicly available content for inspiration, and draft on-brand variations for your own channels.
  • Connect third-party social accounts and schedule or publish content to them, and view analytics about how that content performs.

We may add, change, or remove features at any time, and we may update the underlying AI models the Service relies on.

4.Your content & license to us

“Input” means the prompts, text, images, video, audio, brand assets, and other material you submit to the Service. “Output” means the content the Service generates based on your Input. Together with anything else you upload or create, these are your “Content.”

You retain all rights you hold in your Content. You grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, modify (for example, to resize, transcode, or compose media), and transmit your Content, solely to operate, provide, secure, and improve the Service — including sending it to the third-party AI providers and social platforms needed to fulfill your requests.

You represent and warrant that you own or have all necessary rights, licenses, and consents to your Content and to its use as described in these Terms, and that your Content does not infringe or violate the rights of any third party.

5.AI-generated output

  • Ownership. As between you and us, and subject to your compliance with these Terms, you own the Output generated for you from your Input. We claim no ownership of your Output.
  • Responsibility. You are solely responsible for your Output, including for evaluating its accuracy, legality, and suitability before you use, publish, or distribute it.
  • Similar results. Because of how generative AI works, the Service may produce output that is similar or identical for different users who provide similar Input. Output generated for other users is not your Output.
  • No guarantee of rights. AI output may not be eligible for copyright or other protection in every jurisdiction, and we make no representation that your Output is free of third-party rights. You are responsible for clearing rights where required.
  • No guarantee of results. We do not promise any particular reach, engagement, views, or commercial outcome from content created with or published through the Service.

6.Acceptable use

You agree not to use the Service to:

  • Create, upload, or publish content that is unlawful, infringing, defamatory, fraudulent, harassing, hateful, or that violates any person's privacy, publicity, or intellectual property rights.
  • Generate sexual content involving minors, non-consensual intimate imagery, or any child sexual abuse material — strictly prohibited with zero tolerance.
  • Create deceptive deepfakes, impersonate any person or brand, or produce content designed to mislead about its origin or authenticity, including in connection with elections, public health, or financial matters.
  • Generate or distribute spam, malware, scams, or content that violates the rules of any social platform you publish to.
  • Reverse engineer, decompile, scrape, overburden, or attempt to circumvent any security, rate limits, or usage controls of the Service, or use it to build a competing product or to train a competing model.
  • Resell, sublicense, or provide access to the Service to third parties except as expressly permitted by your plan.

We may use automated and human review to enforce this section and may remove content, or suspend or terminate accounts, that we reasonably believe violate it.

7.Likeness, personas & third-party rights

Some features let you upload or generate human faces, voices, personas, or brand material. If you do, you represent that you have obtained all consents and rights necessary — including from any identifiable individual — to create and use that content.

You must not use the Service to depict a real person without their permission in a way that is misleading, harmful, or that they have not authorized.

8.Connected social accounts

  • When you connect a third-party account (such as TikTok, Instagram, YouTube, or other platforms), you authorize Flaris to access that account and to publish, schedule, and retrieve analytics on your behalf, using the permissions you grant.
  • You remain responsible for all content published through your connected accounts and for complying with each platform's own terms, policies, and community guidelines.
  • Flaris is not affiliated with, endorsed by, or sponsored by any social platform. Those platforms may change, limit, or revoke API access at any time, which can interrupt or disable publishing and analytics features through no fault of ours.
  • You may disconnect any account at any time. Disconnecting revokes our ability to act on that account going forward.

9.Third-party AI providers & services

Flaris relies on third-party AI model providers and infrastructure vendors to deliver the Service. To generate Output, your Input is transmitted to and processed by these providers. Where a provider offers the option, we opt out of having your Content used to train their models; however, we do not control these providers, and your use of AI features may also be subject to their terms.

How we share and process your data, including the categories of service providers involved, is described in our Privacy Policy.

10.Credits, subscriptions & payment

  • Some features are free; others require a paid subscription or the purchase of credits. Pricing, included usage, and plan limits are shown in the app or on our website at the time of purchase.
  • Credits are a unit of access used to run AI generations and other metered actions. Credits are not money, have no cash value, are not redeemable or transferable, and are consumed as you use the Service. Unused credits may expire as stated at the time of purchase or grant.
  • Payments are processed by third-party providers (such as Stripe). You authorize us and our payment processor to charge your payment method for the fees and renewals you select.
  • Unless stated otherwise, subscriptions renew automatically at the then-current rate until canceled. You can cancel from your account settings; cancellation takes effect at the end of the current billing period.
  • Except where required by law, fees and amounts paid for credits are non-refundable. We may change pricing prospectively, with changes to a recurring plan taking effect at the next renewal.

11.Our intellectual property

Flaris, including its software, models, design, branding, and all related intellectual property, is owned by Ubani LTD or its licensors. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your own business and personal use. All rights not expressly granted are reserved.

If you send us feedback or suggestions, you grant us a perpetual, irrevocable, royalty-free license to use them without restriction or obligation to you.

12.Termination

  • You may stop using the Service and delete your account at any time.
  • We may suspend or terminate your access if you breach these Terms, misuse the Service, create legal or security risk, or where required by law. We may also discontinue the Service with reasonable notice.
  • On termination, your right to use the Service ends. Sections that by their nature should survive — including ownership, disclaimers, limitation of liability, indemnification, and governing law — will survive.

13.Disclaimers

The Service and all Output are provided “as is” and “as available,” without warranties of any kind, whether express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, accuracy, and non-infringement.

We do not warrant that the Service will be uninterrupted, secure, or error-free, that AI Output will be accurate or reliable, or that the Service will meet your requirements. You are responsible for reviewing Output before relying on or publishing it.

14.Limitation of liability

To the fullest extent permitted by law:

  • Ubani LTD and its affiliates, officers, employees, and partners will not be liable for any indirect, incidental, special, consequential, or exemplary damages, including loss of profits, data, goodwill, or business, arising out of or relating to the Service.
  • Our total aggregate liability for all claims relating to the Service will not exceed the greater of (a) £100 or (b) the amounts you paid us for the Service in the 12 months before the event giving rise to the claim.

Nothing in these Terms limits liability that cannot be limited under applicable law, such as for death or personal injury caused by negligence, or for fraud.

15.Indemnification

You agree to indemnify and hold harmless Ubani LTD and its affiliates from any claims, damages, liabilities, and expenses (including reasonable legal fees) arising from your Content, your Output, your use of the Service, your connected accounts, or your violation of these Terms or the rights of any third party.

16.Governing law & disputes

These Terms are governed by the laws of England and Wales. The courts of England and Wales will have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Service, except where applicable law requires otherwise.

17.Changes to these Terms

We may update these Terms from time to time. The “Last updated” date reflects the latest version, and we will provide notice of material changes by email or in-app notice. Continuing to use the Service after changes take effect means you accept the revised Terms.
